Position Purpose:
Provide professional and efficient legal advice/services to the Canadian operations in order to protect legal and commercial interest of the Canadian office in line with the legal direction from Head Office whilst supporting the business needs and objectives of the Company.
Principal Accountabilities:
1. Identify, evaluate and mitigate legal exposures and risks as well as commercial risks impacting operations to safeguard the Company's interests.
2. Advise, review, negotiate and finalize all contractual documents required by clients of the Company with host governments, partners, and contractors by producing quality legal documents and reducing concepts, objectives and concerns of clients meeting with the requirement of the Company to ensure Company's interests are safeguarded.
3. Advise, strategize and liaise with external counsel for the commencement, defending and ensuring smooth running of litigation or arbitration matters concerning the Company with a view to safeguard the Company's interest and minimize exposure.
4. Advise and render opinions to management on statutory, contractual, business, and operations issues that are referred from time to time by clients through referring such matter when necessary to head office and external legal firms for legal advice to ensure safe conditions for business operations.
5. Initiate and pursue the incorporation of project vehicle companies for their Canadian office in general to ensure accordance with the requirements of applicable laws.
6. Identify potential development of laws in host country as well as International laws having extra territorial effect in relation to the business of the Company by conducting research and analysis on the implication of the amendments to the existing laws or introduction of new laws to improve business efficiency.
7. Plan, implement and establish department work process taking into account process and policy implemented group wide to improve provision of legal service to the Company.
8. Harness legal awareness among internal stakeholder, manage and handle the requests diligently after proper buying to ensure timely provision of legal service.
9. Networking and Relationship Building - Foster and sustain effective working relationships and rapport with the government authorities, business and management institutions, national and key industry players, service providers and others involved in legal aspects such as obtaining/renewal of licenses, approvals, permits and other necessary related documents in order to keep abreast with the latest development in the relevant markets and capitalize on insider status and strategic alliances to capture opportunities to new business ventures and enhance public confidence in the company business solutions, products and services.
10. Corporate Governance - Enforce the implementation of applicable procedures and guidelines and affect the compliance to statutory and legislative requirements in order to ensure conformance to the established Limits of Authority (LOA), groupwide policies and government regulations to safeguard our clients shareholders'' integrity and image as a multinational.
11. Codes of Conduct (COCD) and HSE Policies - Communicate, interpret and champion the execution of the objectives and provisions of the Health Safety and Environment (HSE) policies and Codes of Conduct and Discipline (COCD) within the working team and undertake appropriate mitigation and/or intervention programs to safeguard business operations, high staff discipline and industrial harmony.
12. Leadership and Capability Development - Drive the development of competent working team that will enhance and sustain capabilities in achieving high performance delivery by determining talent requirements, instilling value of integrity, providing leadership, coaching and guidance and implementing internal successions to ensure internalization of the right leadership and capabilities in executing their jobs.
13. Determine capability requirement for department and develop staff and leaders through acquisition of skills and coaching.
14. Coach, mentor and guide staff and conduct periodic performance review. Counsel/motivate staff to instill right mindset, behaviors and values to attain high performance standard.
15. Mindset, behavior and Culture - Develop and implement distinctive mindset behavior and culture within the working team to achieve high performance in workin by leading and implementation of value interventions, tools and methodologies to promote and instill high sense of commitment, ownership, integrity and loyalty that will contribute to operational excellence.
Additional Requirements:
1.At least 8 - 14 years of experience with a minimum of 5 years in the oil and gas industry (Canadian experience and in unconventional hydrocarbons)
2. Canadian qualified
3. Able to work under pressure and at odd hours as there is a 14 hour time difference with the head office.
4. Able to be posted to Asia for short duration for internalization purpose as our client is a very large organization. The successful candidate needs to understand the company first, culture, Limits of Authority, Management etc.

6. Can work under multinational environments
7. Can handle external legal firms and litigation matters if it arises

Duties will include:

Qualifications

-direct experience in proceedings before U.S. state and federal energy regulatory boards and tribunals;
-strong knowledge of and familiarity with applicable U.S federal and state laws, regulations and practices;
-strong advocacy skills, both oral and written;
-an ability and willingness to travel within North America as required;
-non-legal energy industry experience would be an asset;
-strong organizational skills and an ability to support diverse client groups and handle multiple files;
-strong interpersonal skills and the ability to work well both independently and in a team environment;
Education
-law degree from a Canadian law school or an ABA accredited law school;
-member of a U.S. state bar or a Canadian Provincial bar;
-minimum 6 years of total legal experience and a minimum of 4 years of direct regulatory law experience.
